Section 430 (2B) Companies Act Statement – Clive Whiley
Further to the announcement by Dignity plc (the "Company") on 22 April 2021, Clive Whiley was removed as a Director of the Company following the conclusion of the General Meeting held on that day.
In accordance with section 430 (2B) of the Companies Act 2006, the Company confirms that because Clive was removed as a Director of the Company by way of a shareholder vote, Clive’s appointment terminated automatically with immediate effect without payment of compensation. Clive’s fee will be paid up to and including 22 April 2021 together with expenses incurred prior to that date.
